WeDent Terms of Service

Welcome to WeDent! These Terms of Service (the "Terms") govern your access to and use of the WeDent website and its related services, which include but are not limited to dental services, wellness and health consulting, information on dental health, nutrition, health, wellness, mental health, and business management assistance for dental offices (collectively referred to as the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the WeDent website or its Services.

 

1.  Acceptance of Terms

By accessing or using our Services, you agree to comply with these Terms. We may update or modify these Terms from time to time, and any changes will be effective when posted on the WeDent website. Your continued use of the Services after any such changes constitutes your acceptance of the updated Terms.

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate and current information when creating your account. You may not share your account information with others or allow others to use your account. WeDent reserves the right to terminate or suspend your account if we believe that you have violated these Terms.

b)      Violate any applicable laws, regulations, or third-party rights.

c)      Transmit any content that is unlawful, defamatory, harmful, or infringes on any third-party's rights.

d)      Attempt to gain unauthorized access to the WeDent website or Services.

6.      Intellectual Property

 This Site and all the information it contains, or may in the future contain, including, but not limited to, articles, memoranda, bulletins, reports, press releases, opinions, text, directories, guides, photographs, illustrations, trademarks, trade names, service marks and logos (collectively, the “Content”), is owned by and the property of WeDent or various third party content providers as applicable, and is protected from unauthorized copying and dissemination by U.S. Copyright law, trademark law, international conventions, and other intellectual property laws. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, material, software, products or services from this Site.  Nothing contained on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use this Site or any Content displayed on this Site, through the use of framing or otherwise, without the prior written permission of WeDent or such third party that may own the trademark or copyright of Content displayed on this Site. The Site and its Content shall not be used for any purpose except as provided by this Agreement.  You agree that your use of this Site will not infringe the rights of third parties including copyright, trademark, patent, privacy or other personal or proprietary rights.

7.      Disclaimers and Limitation of Liability

Under no circumstances will WeDent be liable for any loss or damage caused by your reliance on information obtained through this Site.  Except to the extent contrary to applicable law, in no event will WeDent or its owners, affiliates, officers or employees (collectively ” WeDent” for the purposes of this entire Section) be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of or relating to this Agreement, the Site or your use of the Site however arising, whether based on warranty, contract, tort or any other legal theory, even if advised of the possibility of any such damages. You waive and relinquish all rights and benefits in connection with any unknown claims at the time of any compromise that you have or may have under applicable law of any jurisdiction to the fullest extent permitted by law.  WeDent's liability is limited to the fullest extent allowed by law.  Your sole remedy for dissatisfaction with this Site and its Content is to stop using the Site.

You agree that, regardless of any statute or law to the contrary, any claim or action arising out of or relating to this Agreement or the Site, or regarding your use of the Site or this Agreement, must be filed within one (1) year after such claim or cause of action arose or be forever barred.

8.      Termination

WeDent reserves the right to terminate or suspend your access to the Services at any time, without notice, for any reason, including but not limited to violations of these Terms.

 

9.      Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of  New York, except with regard to its conflicts or choice of law rules. You hereby consent to the exclusive jurisdiction and venue of the federal and state courts, tribunals, agencies and other dispute resolution organizations located in New York, USA in all disputes arising out of, relating to, or in any manner concerning this Site and/or this Agreement.  Use of this Site is unauthorized in any jurisdiction that does not give full effect to all provisions of this Agreement, including without limitation this paragraph and the warranty disclaimers and liability exclusions herein.

10.  Indemnification

To the greatest extent permitted by law, you shall indemnify, defend and hold harmless WeDent and its owners, affiliates, subsidiaries, and employees for any and all claims, losses, liabilities, and expenses (including attorneys’ fees) arising from your use of the Site or your alleged or actual violation of this Agreement. 

 

11.  Changes. 

Wedent may modify this Agreement in its sole discretion and to keep it current with applicable law and industry standards.  You should periodically check these Terms of Use for changes. When WeDent makes changes to these Terms of Use, WeDent will publish the date of the last update.  Your use of this Site at any time indicates acceptance of our current Terms of Use. 

 

12.  Entire Agreement and Waiver.

All rights not expressly granted herein are reserved by WeDent. This Agreement contains the entire agreement concerning your use of this Site and its subject matter and supersedes all existing agreements between WeDent and you concerning the Site, whether oral or written. Neither the course or conduct between WeDent and you nor trade practice shall act to modify any provision of this Agreement. No modification of this Agreement shall be effective unless it is authored by an authorized representative of WeDent.  Any alleged waiver by WeDent of any breach of this agreement by you shall not be deemed to be a waiver of any future breach.
